Terms of Service

Please read these Terms of Service carefully before using the Torro platform. By creating an account or using the service, you agree to be bound by these terms. If you do not agree, do not use the service.

1. Definitions

In these Terms of Service, the following terms have the meanings set out below:

  • "Torro" means the platform and services provided by Torro Exchange d.o.o., accessible at usetorro.com.
  • "Customer" means the company or individual who registers for and uses the Torro platform.
  • "User" means any individual who accesses the platform under a Customer's account (managers, cleaners, maintenance workers, etc.).
  • "Subscription" means the recurring plan selected by the Customer, billed per managed apartment per month.
  • "Free Trial" means the 14-day period during which the Customer may use the platform without charge.
  • "PMS" means a Property Management System integrated with Torro via API.

2. The Service

Torro is a short-term rental operations platform that enables property managers to automate cleaning scheduling, job assignment, maintenance tracking, and team coordination. It is designed to operate alongside an existing Property Management System and does not replace it.

We reserve the right to modify, update, or discontinue features of the service at any time. Where we make material changes that affect existing functionality, we will provide reasonable advance notice to active Customers.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into binding agreements on behalf of yourself or your company in order to create a Torro account.

3.2 Account responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@usetorro.com if you suspect unauthorised access to your account.

You must provide accurate and complete registration information and keep it up to date. Accounts registered with false information may be terminated.

3.3 Sub-users

Customers may add Users (cleaners, managers, maintenance staff) to their account. The Customer is responsible for ensuring that all Users comply with these Terms.

4. Free Trial

New Customers are entitled to a 14-day free trial period beginning on the date of account creation. During the trial, full access to the platform features is provided.

No charge is applied during the trial period. At the end of the trial, continued use of the platform requires the selection of a paid subscription plan. Torro reserves the right to modify or discontinue the free trial offer at any time.

5. Subscriptions and Payment

5.1 Pricing

Subscription fees are charged per managed apartment per month, based on the tier selected. Current pricing is available at usetorro.com/#pricing. All prices are exclusive of VAT unless stated otherwise.

5.2 Billing

Subscriptions are billed on a monthly basis. Payment is processed securely via Stripe, in compliance with SCA (Strong Customer Authentication) and PCI-DSS regulations. By providing payment details, you authorise Torro to charge the applicable subscription fee each billing period.

Invoices will be issued and sent to the email address associated with your account. If VAT invoice documentation is required, please ensure your company name, address, and VAT number are entered in your account settings.

5.3 Late payment and suspension

If payment is not received within 7 days of the due date, Torro reserves the right to suspend access to the platform until payment is settled. Continued non-payment may result in account termination.

5.4 Refunds

Subscription fees are non-refundable except where required by applicable law. If you believe a charge was made in error, contact us within 14 days at support@usetorro.com.

6. Acceptable Use

You agree not to use the Torro platform to:

  • Violate any applicable laws or regulations
  • Infringe the intellectual property rights of any third party
  • Transmit harmful, offensive, or unlawful content
  • Attempt to gain unauthorised access to any part of the platform or its underlying infrastructure
  • Use the service to develop or train a competing product
  • Resell or sublicense access to the platform without written permission

We reserve the right to suspend or terminate accounts that violate these provisions without prior notice.

7. Intellectual Property

All intellectual property rights in the Torro platform — including software, design, trademarks, job scheduling logic, and auto-assignment algorithms — are owned by Torro Exchange d.o.o. or its licensors. These Terms do not transfer ownership of any intellectual property to you.

Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code or operational logic of the platform is strictly prohibited. Violation of this clause will result in the immediate termination of your licence and legal action without prior warning.

You retain all rights to the data you upload to or generate within the Torro platform (such as property details, job records, and employee information). By using the service, you grant Torro a limited licence to process that data solely for the purpose of delivering the service.

8. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated by reference into these Terms.

As a Customer, you act as a data controller for the personal data of your employees and other individuals you add to the platform. Torro acts as a data processor on your behalf for that data. Upon request, we can provide a Data Processing Agreement (DPA).

9. Service Level Commitment

Torro targets a 99.9% monthly server uptime, delivered through our cloud hosting infrastructure. Scheduled maintenance windows will be carried out between 02:00 and 05:00 CET/CEST where technically possible, and advance notice will be provided via email or in-platform notification.

This uptime target represents a reasonable operational commitment and does not constitute a legally binding service level guarantee. Unplanned outages caused by force majeure, third-party infrastructure failures, or upstream provider disruptions are excluded.

10. Third-Party PMS Integration Disclaimer

Torro integrates with third-party Property Management Systems (such as Rentlio and others) via their published APIs to retrieve reservation data and trigger job scheduling. Torro does not control the availability, accuracy, speed, or completeness of data provided by these third-party systems.

Torro Exchange d.o.o. strictly disclaims all financial and legal liability for scheduling errors, missed job assignments, or operational disruptions caused by:

  • Delays, outages, or API disruptions on the part of third-party PMS providers
  • Internet connectivity failures affecting data synchronisation
  • Incorrect, incomplete, or delayed reservation data provided by the integrated PMS
  • Unannounced changes to third-party API structures or authentication methods

It remains your sole responsibility to maintain primary monitoring of your reservation platforms. We recommend verifying critical operational data directly in your PMS whenever you experience connectivity issues with Torro.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Torro Exchange d.o.o. shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising from or related to your use of the platform, including but not limited to loss of revenue, loss of data, or missed bookings.

Our total liability to you for any claim arising under or in connection with these Terms shall not exceed the total subscription fees paid by you in the twelve (12) months immediately preceding the claim.

Nothing in these Terms limits our liability for fraud, gross negligence, wilful misconduct, or any other liability that cannot be excluded by law.

12. Termination

12.1 Termination by you

You may cancel your subscription at any time through your account settings or by contacting support@usetorro.com. Cancellation takes effect at the end of the current billing period.

12.2 Termination by Torro

We reserve the right to suspend or terminate your account immediately and without prior notice if you:

  • Breach any provision of these Terms
  • Fail to pay subscription fees within the grace period
  • Use the platform for malicious or abusive API queries (including DDoS-type behaviour against connected PMS systems)
  • Distribute or export sensitive guest or employee data outside designated platform features
  • Engage in conduct that compromises the security or stability of Torro's infrastructure

12.3 Data after termination — 30-Day Frozen Period

Upon subscription cancellation, expiration, or failed payment, your account will enter a "Frozen" status for a period of 30 days. During this period your account is read-only, and you may request a full data export or renew your subscription to restore full access.

If your subscription is not renewed within 30 days of the Frozen status beginning, all your data — including properties, job records, and maintenance history — will be automatically and permanently deleted from our servers. This deletion is irreversible. We strongly recommend exporting your data before cancelling.

13. Governing Law and Dispute Resolution

These Terms are governed by and shall be construed in accordance with the laws of the Republic of Croatia. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Zagreb, Croatia.

We encourage Customers to contact us in the first instance to resolve any dispute amicably before initiating formal proceedings.

Pursuant to Art. 14, para. 1 of Regulation (EU) No 524/2013 on online dispute resolution for consumer disputes, we inform users who are consumers of the existence of the European Online Dispute Resolution (ODR) platform, accessible at: https://ec.europa.eu/consumers/odr/

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or by a prominent notice on the platform at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
